AirLife Gases has signed a definitive agreement to acquire a controlling stake in GNG, a U.S.-based helium gathering, processing and liquefaction infrastructure company.
The acquisition marks another significant milestone in AirLife’s long-term strategy of building a fully integrated global helium supply chain, connecting upstream production, gathering, processing, liquefaction, commercialization, and end-user distribution through a single platform.
The acquisition includes GNG’s helium processing plant, gas gathering infrastructure, and high-purity helium liquefaction facility, which is connected to multiple independent helium producers through an established gathering pipeline network.
Following recommissioning, the facility is expected to provide AirLife with an independent North American source of liquid helium, significantly strengthening long-term supply security for customers across global markets.
Unlike a new greenfield development, the existing infrastructure is expected to return to commercial operations within four to six months following recommissioning, providing a faster path to production while leveraging proven processing and liquefaction assets.
The transaction also secures long-term commercialization rights for helium processed through GNG’s facilities. Combined with AirLife’s established international distribution network, the acquisition creates a more connected helium value chain – from production and gathering to processing, liquefaction, global marketing, and end-user delivery.
The announcement comes at a time when global helium markets continue to experience increasing pressure from rising demand across healthcare, semiconductors, aerospace, electronics, AI infrastructure, and scientific research. As helium becomes increasingly strategic, companies across the industry are placing greater emphasis on supply resilience, infrastructure ownership, and long-term sourcing security.
For AirLife, this acquisition represents another step in its evolution from a global helium distributor to a fully integrated helium company. By combining upstream production assets, gathering systems, processing facilities, liquefaction infrastructure, and international distribution capabilities, AirLife is strengthening visibility and control across the helium value chain while building a more resilient global supply platform.
Commenting on the acquisition, Kiran Karnawat, Chairman & Chief Executive Officer of AirLife Gases, said:
“This transaction represents another transformational step in AirLife’s strategy to become one of the world’s leading fully integrated helium companies. By combining strategic gathering systems, processing assets, liquefaction infrastructure, exclusive commercialization rights, our recently acquired upstream helium resources, and AirLife’s global distribution platform, we are creating a differentiated helium platform with capabilities few independent companies can match. This integrated platform will enable us to deliver secure, reliable, and long-term helium supply while creating lasting value for our customers, partners, and stakeholders.”
